Purchase Terms

These Purchase Terms apply to the Closeout Cue digital product available through closeoutcue.com.au. They should be read with the transaction terms presented at checkout.

1. Product

Closeout Cue is a downloadable operating kit for Australian trade businesses. It contains PDF guides, an editable Excel workbook, a Word and text message library, an implementation plan, worked fictional examples and package notes. It is not software-as-a-service, implementation consulting, legal advice, accounting advice, safety advice or debt-recovery advice.

2. Checkout and merchant of record

Lemon Squeezy acts as merchant of record and handles payment, applicable taxes, receipts, digital delivery and order access under its own transaction terms. Closeout Cue does not collect card details on this website.

3. Price, payment and digital delivery

Closeout Cue is priced at $129 AUD as a one-time digital purchase. Any applicable tax and the final transaction total are shown before payment at checkout. After payment succeeds, the customer receives an electronic receipt and access to the current Closeout Cue v1.3 ZIP. The customer is responsible for entering a valid email address and keeping receipt and order-access links secure.

4. Single-business licence

The purchaser may use, copy, edit and adapt the files for one business entity and its internal team. Contractors may use the files only for that business's operations. Reasonable internal backups and working copies are permitted.

5. Prohibited use

The purchaser must not resell, redistribute, publish, sublicense or upload the product as a competing template product, nor share it with unrelated businesses. Separate legal entities, franchises and client businesses require separate permission unless the checkout offer expressly says otherwise.

6. Customer responsibilities

The customer must replace sample names, links and bracketed fields; keep source records in appropriate systems; apply suitable access controls; and obtain professional advice for legal, tax, privacy, safety, employment, licensing and debt-recovery matters. The customer remains responsible for how edited templates are used.

7. Support boundary

Product, order, access, file and remedy support is available at support@closeoutcue.com.au. Implementation consulting, business advice and custom workflow design are not included.

8. Intellectual property

The customer owns its business data and its original additions. The underlying Closeout Cue structure, design and original content remain protected by intellectual property law. The licence grants use rights; it does not transfer ownership of the product.

9. Refunds and remedies

Because Closeout Cue is a digital product, change-of-mind refunds may be declined after access to the files has been supplied. This policy operates in addition to, and does not limit, rights that cannot lawfully be excluded. Failed delivery, inaccessible or corrupt files, duplicate payment, or a product materially different from its description will be investigated. Depending on the issue and applicable law, the remedy may include restored access, replacement or corrected files, a partial or full refund, or another remedy required by law. 10. Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law. A business customer may also qualify as a consumer under that law.

11. Outcomes and liability

Closeout Cue does not guarantee faster payment, quote acceptance, profit, legal compliance or any particular business outcome. Nothing in these terms excludes liability or remedies that cannot lawfully be excluded. To the maximum extent permitted by law, liability for a claim outside a non-excludable statutory right or remedy is limited to the amount paid for the product.

12. Governing law

These terms are governed by the laws applicable in Australia. Any dispute is subject to the courts and tribunals that have jurisdiction under applicable law, without limiting any non-excludable consumer right or remedy.
